M. X… a \u00e9t\u00e9 engag\u00e9 par la soci\u00e9t\u00e9 D le 3 ao\u00fbt 2001 en qualit\u00e9 d’actuaire et a acc\u00e9d\u00e9 aux fonctions de \u00ab\u00a0senior manager\u00a0\u00bb, suivant un avenant du 11 octobre 2005.<\/p>\n

M. Y…, engag\u00e9 comme actuaire le 9 septembre 1999 par la m\u00eame soci\u00e9t\u00e9, est devenu \u00ab\u00a0associ\u00e9\u00a0\u00bb en f\u00e9vrier 2005.<\/p>\n

Le 26 avril 2006 et le 22 juin 2007 respectivement, M. Y… et M. X… ont sign\u00e9 un document intitul\u00e9 charte associative de la soci\u00e9t\u00e9 D.<\/p>\n

Leur contrat de travail a \u00e9t\u00e9 transf\u00e9r\u00e9 \u00e0 la soci\u00e9t\u00e9 D.C., le 19 octobre 2007, \u00e0 la suite de la fusion-absorption de la soci\u00e9t\u00e9 D.<\/p>\n

Par lettres du 24 juillet 2008, M. Y… et M. X… ont d\u00e9missionn\u00e9 de la soci\u00e9t\u00e9 D.C.<\/p>\n

Le 13 octobre 2008, ils ont saisi le conseil de prud’hommes de Nanterre en nullit\u00e9 de diverses dispositions de la charte associative concernant le pr\u00e9avis de six mois, la clause de non-concurrence non r\u00e9mun\u00e9r\u00e9e et la clause de non-d\u00e9bauchage, la sanction du non-respect de la clause de non-concurrence.<\/p>\n

La soci\u00e9t\u00e9 D.C. a soulev\u00e9 l’incomp\u00e9tence de la juridiction prud’homale compte tenu de la clause compromissoire stipul\u00e9e \u00e0 la charte.<\/p>\n

Dans un arr\u00eat du 15 f\u00e9vrier 2011, la cour d’appel de Versailles a d\u00e9cid\u00e9 qu’ind\u00e9pendamment de la signature du contrat de travail, lorsque le salari\u00e9 adh\u00e8re \u00e0 une charte contenant des dispositions relatives aux conditions d’ex\u00e9cution du contrat de travail, aux modalit\u00e9s de r\u00e9mun\u00e9ration et \u00e0 l’obligation de non-concurrence, cette charte constitue, pour ces stipulations, un avenant au contrat de travail. D\u00e8s lors, la clause compromissoire qui y \u00e9tait stipul\u00e9e \u00e9tait inopposable aux salari\u00e9s en application de l’article L. 1411-4 du code du travail.<\/p>\n

La Cour de cassation confirme la position de la Cour d’appel dans un arr\u00eat du 30 novembre 2011, sur le fondement de l’article L. 1411-4 du code du travail, qui dispose que le principe comp\u00e9tence-comp\u00e9tence selon lequel il appartient \u00e0 l’arbitre de statuer par priorit\u00e9 sur sa propre comp\u00e9tence n’est pas applicable en mati\u00e8re prud’homale.<\/p>\n

Elle rel\u00e8ve \u00e9galement que M. X… ne poss\u00e8de ni actions, ni parts sociales dans la soci\u00e9t\u00e9 qui l’employait, et que si M. Y… poss\u00e8de des actions de la soci\u00e9t\u00e9 D, les termes de la charte et ceux de la lettre du 28 juin 2005 montrent que l’acquisition d’actions est une condition de r\u00e9alisation de la promotion de l’associ\u00e9 au poste d’actionnaire au sens de la charte. Ainsi, tant M. X… que M. Y… n’ont pas perdu la qualit\u00e9 de salari\u00e9 et n’exercent pas leur activit\u00e9 en tant que prestataire de services. Ainsi, la charte r\u00e9glemente des questions qui rel\u00e8vent des relations de travail (exclusion, non-concurrence, non-d\u00e9bauchage…), notamment la clause compromissoire qui de ce fait est inopposable aux salari\u00e9s en application de l’article L. 1411-4 du code du travail.<\/p>\n","protected":false},"excerpt":{"rendered":"
